By sending us your video you: (a) hereby grant Red Bull Records and their affiliated companies, successors, distributors, employees, agents, partners, licensees, and assigns (collectively “Red Bull Parties”) an irrevocable, perpetual and worldwide license to use such materials in any media now known or hereafter devised and acknowledge that the Red Bull Parties shall have the right to add to, subtract from, delete, edit, arrange, and revise your appearance or materials in any manner; (b) acknowledge and agree that you have no right, title and/or interest in and to any master recordings, album artwork or other materials created or marketed by the Red Bull Parties notwithstanding the potential inclusion of any materials submitted by you in connection therewith; (c) you represent and warrant that: (i) you have the right to enter into this agreement, to grant all rights granted herein; (ii) you are over 18 years of age; (iii) you will comply with all applicable laws and regulations in connection with your activites and the materials created by you in connection with this promotion; and (iv) the exercise and exploitation of the rights and materials herein granted or conveyed will not violate or infringe upon the rights of any other person, firm or corporation. You agree to indemnify and hold the Red Bull Parties harmless from and against any claim (including court costs and legal fees) based upon or arising out of the breach or alleged breach of any of the foregoing respective warranties and representations and/or in connection with your activities in connection with this promotion; and (d) irrevocably waive any claims and forever release and discharge the Red Bull Parties from any and all claims, liability, or actions based upon any and all uses that they may make of your name, voice, performance, likeness and/or photograph, including but not limited to claims of defamation, right of publicity, emotional distress and/or invasion of privacy.
You hereby knowingly and freely assume such risks of engaging in the activities engaged in by you in connection with this video, both known and unknown, even if arising from the negligence of others, including, without limitation, the Red Bull Parties and assume full responsibility for your participation in these activities. Without limiting the foregoing and in consideration of the Red Bull Parties’ potential use of such and the covenants contained herein, you, for yourself and on behalf of your heirs, assigns, successors-in-interest and guest, hereby release and absolutely discharge the Red Bull Parties, and each of them, from any and all claims, demands, damages, debts, liabilities, obligations, costs, expenses, liens, actions, causes and causes of action, of every kind of nature whatever, at law or in equity, known or unknown, suspected or unsuspected, which you ever had, now have or hereafter shall have or may have in any way arising out of, in connection with, this promotion and your activities in connection therewith. You are familiar with Section 1542 of the Civil Code of the State of California (“Section 1542”), which provides as follows:
“A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.”
You waive and relinquish any right and benefit which you and we have or may have under Section 1542 or any other analogous statute, rule or law in any jurisdiction to the full extent that you may lawfully waive all of those rights and benefits.”
